Welcome to Indyx. These Terms of Service (“Terms”) govern your access to and use of the Indyx website, mobile applications, and related services (collectively, the “Service”), operated by Indyx Inc. (“Indyx,” “we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.


1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using Indyx, you represent that you meet this requirement and that you have the authority to enter into these Terms.


2. Account Registration and Access

Registration

To use Indyx, you must create an account. We currently offer account access through:

  • Sign in with Apple

  • Sign in with Google

  • Sign in with Email

Indyx does not use passwords. Authentication is handled exclusively through secure verification methods provided by your selected sign-in method.

You agree to provide accurate and complete information when creating your account and to keep your account information up to date.

Third-Party Sign-In Providers

If you choose to sign in using Apple or Google, authentication is provided and managed by those third-party services. Your use of those sign-in methods is subject to the terms, policies, and privacy practices of the applicable provider. Indyx does not control and is not responsible for the operation, security, or availability of third-party authentication services.

Email Address

The email address associated with your account is your unique account identifier. Once an account is created, we may not be able to change the email address linked to that account. You are responsible for maintaining access to the email address used to register your Indyx account.

Account Security

You are responsible for all activity that occurs under your account. You may not share your account credentials or allow others to access your account.

If you believe your account has been compromised, you must notify us promptly.

Account Sharing and Proxy Access

Accounts are intended for individual use only and may not be shared with others. You may not allow any third party to access your account or use the Service through your credentials.

If you are interested in enabling another person to access your wardrobe or data, you must contact Indyx to discuss available authorized access options. We may, at our discretion, provide alternative access methods or permissions where appropriate.

We reserve the right to suspend, restrict, or terminate accounts that violate this individual-use requirement or that we determine are being accessed by multiple users without authorization.


3. Description of Service

Indyx is a digital wardrobe and personal styling platform that allows users to upload, store, organize, manage, and interact with wardrobe items, outfits, and other related personal wardrobe information (“User Content”). The Service may include tools for wardrobe cataloging, outfit styling and visualization, wardrobe analysis, styling assistance, recommendations, and other features designed to help users manage and engage with their wardrobes.

The Service may incorporate automated systems, algorithms, artificial intelligence, machine learning tools, or similar technologies to analyze, process, enhance, or generate outputs based on User Content or usage activity. These features are provided for convenience and informational purposes only and may evolve over time.

Features and functionality may vary between users and may depend on factors such as subscription tier, geographic location, device type, or feature availability. Certain features may be experimental, limited release, or offered only to select users.

Indyx may add, modify, suspend, or discontinue any part of the Service, including features, tools, or functionality, at any time with or without notice. We are not obligated to maintain or support any specific feature, functionality, or content format.

The Service is intended for personal use unless expressly authorized by Indyx. Any commercial, institutional, automated, or large-scale use requires our prior written permission.

We reserve the right to determine, at our sole discretion, how the Service is operated, provided, maintained, and improved.


4. Free and Paid Plans

Free Access

Indyx offers a free version of the Service that allows users to access core functionality. We are committed to keeping a version of Indyx available at no cost so users can create and maintain a digital wardrobe.

Use of the free plan is subject to reasonable usage expectations designed to ensure reliable performance for all users. Accounts must comply with our Fair Use Policy described below, which explains how we manage unusually high levels of storage, processing, or activity.

Features, capabilities, and usage levels available on the free plan may change from time to time.

Premium Features and Insider Membership

Certain features, tools, functionality, or usage levels may be designated as premium and available only through a paid subscription (“Insider” or other paid tiers). Premium features may include enhanced capabilities, expanded access, or additional functionality beyond what is available on the free plan.

We reserve the right, at our discretion, to determine which features are free and which require a paid subscription, and to modify, add, or remove features from any tier at any time.

Subscriptions

Paid subscriptions are billed in advance on a recurring basis unless canceled. Subscription pricing, billing frequency, and included benefits may change from time to time.

If you purchase a subscription through a third-party platform such as Apple App Store or Google Play, billing and refunds are governed by that platform’s terms.

We may offer promotional pricing, trials, or discounts at our discretion. Such offers may be temporary and may differ between users.

No Feature Guarantees

We do not guarantee that any particular feature, functionality, or benefit will remain available as part of any plan for any period of time.


5. Trial Periods

We may offer free trials that provide temporary access to premium features or functionality. Trial eligibility, duration, and included features are determined by Indyx at our sole discretion and may vary by user or promotion.

When a trial ends, access to premium features may be limited or disabled unless you subscribe to a paid plan.

Content created, generated, or uploaded during a trial may be stored temporarily. Unless you activate a paid subscription, Indyx reserves the right, in its sole discretion, to delete, remove, or disable access to trial-related content or assets at any time after the trial ends, including but not limited to images, selfies, inspirations, AI-generated outputs, or other premium feature outputs.

Indyx is not obligated to retain any trial-related content after the trial period. Users are responsible for saving any content they wish to keep before the trial ends.

We reserve the right to determine which features or content remain available after a trial and which require a paid subscription, and to modify or discontinue trial offers at any time.

Nothing in a trial offer guarantees continued access to any feature or stored content without an active paid subscription.


6. User Content and Data Rights

Ownership

You retain ownership of any content you upload, submit, or create using the Service, including images, wardrobe items, outfits, personal styling data, and related materials (“User Content”). Indyx does not claim ownership of your User Content.

License to Operate the Service

By uploading or creating User Content, you grant Indyx a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, display, and generate outputs from your User Content solely for the purpose of:

  • operating the Service

  • providing features and functionality

  • improving performance and reliability

  • supporting user-requested features

This license exists only for as long as your content remains in the Service and terminates when your content is deleted from our systems, subject to reasonable technical and legal retention requirements. Content may be removed by Indyx in accordance with these Terms.

Processing and Automation

The Service may use automated systems, algorithms, or artificial intelligence tools to analyze, process, enhance, categorize, or generate outputs from User Content in order to provide functionality. These processes are performed solely to operate and improve the Service.

No Sale of Personal Content

We do not sell your personal wardrobe content or uploaded images to third parties.

Visibility and Sharing

Your User Content is private by default unless you choose to share it using features provided within the Service.

Deletion and Retention

If you delete content or close your account, we will remove your User Content from active systems within a reasonable period, except where retention is required for legal, security, fraud-prevention, or compliance purposes. Indyx may also remove or delete content independently as permitted under these Terms.

Responsibility for Content

You represent that you have all rights necessary to upload your User Content and that it does not violate any law or third-party rights.

We reserve the right to remove content that violates these Terms or applicable law.


7. Fair Use Policy

Indyx is designed for personal use by a single individual. The free version of the Service is intended to support typical personal wardrobe management and organization.

To maintain reliable performance and ensure the Service remains available to all users, accounts must remain within reasonable usage levels. We do not impose fixed numerical limits for most users. However, accounts with unusually high storage, processing, or activity levels may exceed what we consider reasonable personal use.

We reserve the right, at our sole discretion, to determine whether usage falls outside acceptable limits or violates this Fair Use Policy.

Examples of Non-Permitted Usage

Use of the Service may be considered outside fair use if it includes, but is not limited to:

  • usage by more than one individual through a single account

  • extremely large wardrobe storage volumes relative to typical users

  • unusually high numbers of uploads or processing requests

  • automated, bulk, or scripted activity

  • use of the Service as a database, hosting platform, or asset repository

  • commercial, institutional, or agency use without authorization

  • activity that materially increases infrastructure, storage, or processing costs

These examples are illustrative and not exhaustive.

Actions We May Take

If we determine that an account exceeds fair use limits, we may take one or more of the following actions:

  • request that you upgrade to a paid subscription

  • temporarily limit certain features or processing capabilities

  • restrict uploads or storage

  • require reduction of stored content

  • suspend or restrict access

  • terminate the account if necessary

Where reasonably possible, we will attempt to notify you before taking action, but are not obligated to do so.

Paid Plans

Paid subscription tiers are designed to support higher levels of usage. Continued use beyond what is considered reasonable for free accounts may require upgrading to a paid plan.

We reserve the right to modify what constitutes fair use at any time as the Service evolves.


8. Acceptable Use

You agree not to misuse the Service or use it in a manner that violates applicable laws or these Terms. In particular, you may not:

  • use the Service for unlawful, fraudulent, or harmful purposes

  • upload content you do not have rights to use

  • interfere with or disrupt the Service or its infrastructure

  • attempt to gain unauthorized access to systems or accounts

  • reverse engineer or attempt to extract source code

  • use automated tools, scripts, or bots without authorization

  • scrape, harvest, or collect data from the Service

  • use the Service to store or distribute harmful, abusive, or illegal content

We reserve the right to investigate violations and take appropriate action, including restricting or terminating access to the Service.


9. Storage and Content Retention

General Storage Management

Storage capacity and access to stored content may vary depending on your subscription tier, usage levels, and account status.

For accounts using the free version of the Service, storage and processing are subject to the Fair Use Policy described above. If your account exceeds what we consider reasonable usage for the free tier, we may take steps to manage system resources, including limiting storage, restricting access to certain content, compressing files, archiving content, or requiring that you reduce stored content in order to continue using the Service without upgrading.

We may manage stored content as necessary to maintain platform performance, reliability, security, and integrity. Such measures may be applied automatically or manually and may vary between accounts.

Deletion and Retention

If you delete content or close your account, we will remove your User Content from active systems within a reasonable period, except where retention is required for legal, security, fraud-prevention, or compliance purposes.

If your paid subscription expires, is canceled, or is not renewed, access to features, storage, or content associated with that subscription may be reduced, restricted, or removed. Certain content created or stored using premium features may become inaccessible, archived, or deleted unless you maintain an active subscription. Indyx is not obligated to retain premium-tier content after a subscription ends.

We may also remove or delete content where necessary to enforce these Terms, maintain system performance, or comply with applicable law.

We are not responsible for loss of content. You are responsible for maintaining copies of any content you wish to keep.

We reserve the right to establish, modify, or enforce storage limits, retention practices, and content management measures at our discretion as the Service evolves.

Inactive Accounts

We may consider an account inactive if it has not been accessed or used for an extended period of time.

To maintain system performance, manage storage resources, and ensure efficient operation of the Service, we reserve the right to take action with respect to inactive accounts. Such actions may include limiting access to stored content, restricting functionality, archiving content, reducing stored data, or deleting content associated with inactive accounts.

Where reasonably possible, we may attempt to notify you before taking action affecting your account or stored content.

Paid subscription accounts are generally maintained while an active subscription remains in good standing. Free accounts may be subject to earlier storage or access limitations if they remain inactive for an extended period.

We are not obligated to store content indefinitely for accounts that are inactive.

We reserve the right to determine what constitutes inactivity and what actions are appropriate in each case.


10. Account Suspension and Termination

Grounds for Suspension or Termination

We reserve the right to suspend, restrict, or terminate your access to the Service, in whole or in part, at our discretion, if we determine that:

  • you have violated these Terms

  • your use of the Service exceeds permitted or reasonable usage levels

  • your account violates our Fair Use Policy

  • your account is being used by more than one individual without authorization

  • your activity poses a risk to the security, integrity, or performance of the Service

  • you use the Service in a manner that is unlawful, abusive, fraudulent, or harmful

  • you fail to comply with applicable payment obligations

  • we are required to do so to comply with legal obligations

We may also suspend or restrict accounts that materially increase infrastructure or operational costs beyond typical usage levels.

Actions We May Take

We may take enforcement action with or without prior notice, depending on the circumstances. Where reasonably possible, we will attempt to notify you before suspension or termination.

Actions we may take include, but are not limited to:

  • limiting functionality or features

  • restricting access to certain content

  • limiting storage or processing

  • requiring reduction of stored content

  • temporarily suspending access

  • permanently terminating the account

We may choose to apply partial restrictions instead of full suspension where appropriate.

If your account is suspended or terminated, access to your content may be limited or disabled. We are not obligated to maintain or provide access to content after termination except where required by law.

Account Closure

You may terminate your account at any time by using the account deletion option within your account settings. When you request deletion, your account will be scheduled for closure and your content will be removed from active systems within a reasonable period, subject to applicable legal, security, or technical retention requirements.

Indyx does not manually terminate accounts on behalf of users unless we are initiating the action for reasons described in these Terms, such as policy violations, legal compliance, or system protection. If you wish to stop using the Service, you must delete your account through the provided settings.

Termination of your account, whether initiated by you or by us, does not relieve you of obligations incurred prior to termination, including payment obligations.We reserve the right, where permitted by law, to refuse or discontinue service.

11. Intellectual Property

Ownership of the Service

The Service, including all software, technology, databases, algorithms, models, interfaces, design elements, text, graphics, trademarks, logos, visual interfaces, compilation, organization, and underlying architecture, is owned by Indyx Inc. and is protected by intellectual property, trade secret, and other applicable laws.

Except for the limited rights expressly granted to you in these Terms, no rights, title, or interest in or to the Service are transferred to you. All rights not expressly granted are reserved by Indyx.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, decompile, attempt to extract source code, or otherwise exploit any portion of the Service without prior written permission from Indyx.

The structure, organization, and underlying design of the Service constitute proprietary and confidential information belonging to Indyx.

Indyx Marks

The Indyx name, logo, trade dress, branding elements, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Indyx or its affiliates. You may not use such marks without prior written permission.

User Content Ownership

You retain ownership of the content you upload, submit, or create using the Service, including images, wardrobe items, outfit data, text, and related materials (“User Content”). Nothing in these Terms transfers ownership of your User Content to Indyx.

License to Operate the Service

By uploading or creating User Content, you grant Indyx a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, analyze, display, and generate outputs from your User Content solely for the purpose of:

  • operating and providing the Service

  • enabling requested features and functionality

  • maintaining and improving system performance

  • supporting user-initiated actions

This license exists only for as long as your User Content remains within the Service, subject to reasonable technical and legal retention requirements.

Structure and Organization of Data

For clarity, while you retain rights to your User Content, Indyx retains all rights in the structure, organization, formatting, presentation, arrangement, categorization, and display of such content within the Service, as well as all underlying systems, software, models, logic, and technologies used to provide the Service.

Features that allow you to create combinations, groupings, or arrangements of your content (such as outfits, collections, or similar features) may incorporate your User Content, but the structure, format, layout, and presentation of those combinations are part of the Service and remain the intellectual property of Indyx.

Service Outputs

To the extent the Service generates outputs, recommendations, analyses, or other results based on your content or activity, those outputs are provided for your personal use within the Service. Indyx retains all rights in the underlying technology, algorithms, models, and systems used to generate such outputs.

Feedback

If you submit suggestions, ideas, feedback, or recommendations regarding the Service (“Feedback”), you grant Indyx a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, modify, implement, and incorporate such Feedback for any purpose without restriction or obligation to you.

Restrictions

You may not use the Service or any portion of it to:

  • build or support a competing product or service

  • benchmark or analyze the Service for competitive purposes

  • scrape, extract, or harvest data or content

  • replicate or attempt to replicate features or functionality

  • access the Service through automated means without authorization

  • use the Service as a database, hosting platform, or infrastructure service

Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by Indyx.


12. Third-Party Services

The Service may rely on, integrate with, or provide access to third-party services, products, or platforms that are not owned or controlled by Indyx. These may include authentication providers, payment processors, cloud infrastructure providers, analytics services, artificial intelligence tools, email services, or other external systems.

Your use of such third-party services may be subject to the terms, conditions, and privacy policies of those providers. Indyx does not control and is not responsible for the availability, accuracy, security, or reliability of any third-party services.

Indyx is not liable for any loss or damage arising from your use of or reliance on third-party services, including service interruptions, outages, or failures caused by those providers.

We may modify or replace third-party providers at any time without notice.


13. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Indyx disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

Indyx does not warrant that the Service will always be available, that defects will be corrected, or that the Service or its servers are free of viruses or other harmful components.

Any outputs, recommendations, analyses, or results generated by the Service, including those produced using automated systems or artificial intelligence, are provided for informational and convenience purposes only and may not be accurate, complete, or suitable for your specific needs.

Your use of the Service is at your own risk.


14. Limitation of Liability

To the fullest extent permitted by applicable law, Indyx and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to:

  • your use of or inability to use the Service

  • loss, corruption, or deletion of content

  • unauthorized access to your account

  • service interruptions or downtime

  • errors or inaccuracies in outputs or results

  • third-party services or providers

  • actions or content of other users

regardless of legal theory, whether based on warranty, contract, tort, negligence, strict liability, or otherwise, and even if Indyx has been advised of the possibility of such damages.

To the fullest extent permitted by law, Indyx’s total cumulative liability for any claim arising out of or relating to the Service shall not exceed the greater of:

(a) the total amount you paid to Indyx in the twelve (12) months preceding the event giving rise to the claim, or
(b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You acknowledge that these limitations of liability are an essential part of the agreement between you and Indyx and that the Service would not be provided without them.


15. Indemnification

You agree to defend, indemnify, and hold harmless Indyx and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Service

  • your User Content

  • your violation of these Terms

  • your violation of any law or regulation

  • your infringement of any intellectual property, privacy, publicity, or other rights of a third party

  • your misuse of the Service

Indyx reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Indyx in asserting any available defenses.


16. Changes to Terms

We may update or modify these Terms from time to time to reflect changes to the Service, legal requirements, or business practices.

If we make material changes, we will provide reasonable notice, such as by posting updated Terms within the Service, updating the “Last Updated” date, or providing notice through the Service or by email where appropriate.

Changes will become effective when posted unless otherwise stated. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Service and may delete your account at any time.

We reserve the right to modify or discontinue any part of the Service at any time, with or without notice, where permitted by law.


17. Governing Law

These Terms and any dispute arising out of or relating to the Service or these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

However, if you are a consumer residing in a jurisdiction that provides mandatory consumer protection laws, you retain the benefit of any protections afforded to you under such laws.


18. Dispute Resolution and Arbitration

Informal Resolution

Before filing any legal claim, you agree to first contact Indyx and attempt to resolve the dispute informally. Both parties agree to make a good-faith effort to resolve any dispute within thirty (30) days of written notice.

Binding Arbitration

Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration rather than in court.

Arbitration will be administered by the American Arbitration Association (AAA) or another comparable provider selected by Indyx. The arbitration will take place remotely unless otherwise required by applicable law. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of these Terms.

No Class Actions

You and Indyx agree that disputes will be resolved only on an individual basis and not as part of any class, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

Exceptions

Nothing in this section prevents either party from:

  • bringing an individual claim in small claims court

  • seeking injunctive or equitable relief for misuse of intellectual property or unauthorized access to the Service

International Users

If you reside in a jurisdiction that does not permit mandatory arbitration, this section will apply only to the extent permitted by applicable law.

Time Limit for Claims

To the extent permitted by law, any claim arising out of or relating to the Service must be brought within one (1) year after the cause of action arises, or it will be permanently barred.


19. Miscellaneous

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any policies or guidelines referenced herein, constitute the entire agreement between you and Indyx regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.

Assignment

You may not assign or transfer these Terms or any of your rights or obligations without prior written consent from Indyx. Indyx may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Waiver

The failure of Indyx to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Indyx.

Interpretation

Section titles are for convenience only and have no legal or contractual effect. In these Terms, the words “including” and “include” mean “including without limitation.”
