Welcome to Indyx. These Terms of Service (“Terms”) govern your access to and use of the Indyx website, mobile applications, and related services (collectively, the “Service”), operated by Indyx Inc. (“Indyx,” “we,” “our,” or “us”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using Indyx, you represent that you meet this requirement and that you have the authority to enter into these Terms.

2. Account Registration

To use certain features, you must create an account. You agree to:

  • provide accurate information

  • keep your login credentials secure

  • notify us of unauthorized access

You are responsible for all activity under your account.

3. Description of Service

Indyx is a digital wardrobe platform that allows users to upload, organize, store, and interact with clothing images, outfit combinations, personal styling data, and related content.

We may modify, update, or discontinue features at any time.

4. Free and Paid Plans

Free Tier

Indyx offers a free plan with access to core functionality.

Paid Subscriptions

Certain features require a paid subscription (“Insider” or other tiers). Paid plans may include enhanced storage, advanced tools, AI-powered features, or other premium capabilities.

Subscription terms:

  • billed in advance

  • auto-renew unless canceled

  • non-refundable except where required by law

App Store or Google Play purchases are governed by their respective payment terms.

5. Trial Periods

We may offer free trials for paid features. After the trial ends:

  • paid features may be restricted unless you subscribe

  • content created during trial may remain stored but inaccessible without a subscription

  • we may limit access to trial-generated assets until upgrade

We reserve the right to modify trial eligibility or duration.

6. User Content

You retain ownership of content you upload (“User Content”), including photos, wardrobe items, outfits, and related data.

By uploading content, you grant Indyx a limited, non-exclusive, worldwide license to:

  • store

  • host

  • display

  • process

  • generate outputs from

your content solely for the purpose of operating and improving the Service.

We do not sell your personal wardrobe content.

You represent that you have the rights necessary to upload all content.

7. Fair Use Policy

To maintain performance and reliability for all users, accounts must remain within reasonable usage levels.

We do not impose fixed limits for most users. However, accounts with unusually high storage, processing, or activity levels may exceed what is considered reasonable for personal use.

We reserve the right, at our sole discretion, to determine whether usage exceeds fair use.

Examples of excessive usage include, but are not limited to:

  • extremely large wardrobe storage volumes

  • unusually high numbers of uploads

  • automated uploads or scraping

  • commercial or database-building usage

  • activity that materially increases infrastructure cost

If your usage exceeds fair use, we may:

  • request that you upgrade

  • restrict certain features

  • limit uploads

  • require reduction of stored content

  • suspend or terminate the account

Where reasonably possible, we will attempt to notify you before taking action.

We may modify fair use thresholds at any time.

8. Acceptable Use

You agree not to:

  • use the Service for unlawful purposes

  • upload content you do not have rights to

  • attempt to reverse engineer the platform

  • interfere with system security

  • scrape or harvest data

  • use automated tools without permission

  • exploit the Service for commercial hosting or storage

9. Storage and Content Retention

We may set storage guidelines or limits for free or paid tiers.

We reserve the right to:

  • compress

  • archive

  • restrict

  • or delete content

if necessary for system performance, legal compliance, or inactive accounts.

We are not responsible for loss of content. You are responsible for maintaining backups of important data.

10. Account Suspension and Termination

We may suspend or terminate accounts that:

  • violate these Terms

  • exceed fair use

  • misuse the Service

  • pose risk to platform integrity

You may delete your account at any time through account settings.

Upon deletion, your content may be permanently removed after a reasonable processing period.

11. Intellectual Property

The Service, including software, design, branding, and technology, is owned by Indyx and protected by intellectual property laws.

You may not copy, reproduce, or distribute any part of the Service without written permission.

12. Third-Party Services

The Service may integrate with third-party platforms (email providers, payment processors, etc.). We are not responsible for third-party services or their policies.

13. Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee:

  • uninterrupted access

  • error-free operation

  • perfect accuracy of outputs

  • suitability for any specific purpose

14. Limitation of Liability

To the fullest extent permitted by law, Indyx shall not be liable for:

  • indirect damages

  • lost data

  • lost profits

  • service interruptions

Our total liability shall not exceed the amount you paid us in the past 12 months.

15. Indemnification

You agree to indemnify and hold harmless Indyx from any claims, damages, or expenses arising from:

  • your use of the Service

  • your content

  • your violation of these Terms

16. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify users by:

  • posting updated Terms

  • email notice

  • in-app notice

Continued use after updates constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
